1. Definitions

In these general terms and conditions, the following terms are understood as:

  • Bongaerts Productions: The business operating under the name Bongaerts Productions – Artist & Booking Agency – Yuki Music Studio, hereinafter referred to as “Service Provider”.

  • Client: Any natural or legal person entering into an agreement with the Service Provider.

  • Services: All services provided or to be provided by the Service Provider, including but not limited to artist management, bookings, music production, studio recordings, coaching, and related creative and administrative services.

2. Applicability

2.1 These general terms apply to all offers, agreements, and services provided by the Service Provider.
2.2 Deviations from these conditions are only valid if confirmed in writing.
2.3 The applicability of any general terms and conditions of the Client is explicitly excluded.

3. Offers and Agreements

3.1 All offers are non-binding, unless explicitly stated otherwise.
3.2 An agreement is established once the Service Provider has accepted or confirmed a booking or assignment verbally or in writing.
3.3 Composite price quotations do not oblige the Service Provider to carry out part of the assignment for a proportional part of the quoted price.

4. Execution of the Agreement

4.1 The Service Provider shall carry out the agreement to the best of its ability and understanding.
4.2 If required for proper execution, the Service Provider may involve third parties in the performance of the services.
4.3 Execution terms are always indicative unless explicitly agreed otherwise in writing.

5. Payment

5.1 Invoices must be paid within 14 days of the invoice date, unless agreed otherwise.
5.2 In the event of late payment, the Client is automatically in default and subject to 8% monthly interest as well as possible collection costs.
5.3 For long-term or high-value assignments, an advance payment may be required.

6. Cancellation

6.1 Cancellation of an assignment must be done in writing.
6.2 If canceled within 7 days prior to the start of the service (such as a performance, studio session, or coaching), 50% of the agreed fee is due. If canceled within 48 hours, 100% is due, unless otherwise agreed.

7. Liability

7.1 The Service Provider is only liable for direct damage resulting from intent or gross negligence.
7.2 Liability for indirect damage, including consequential loss or loss of profit, is excluded.
7.3 Any liability is limited to the invoiced amount for the specific assignment.

8. Intellectual Property

8.1 All intellectual property rights to work developed by the Service Provider (such as music, texts, images, promotional materials) remain the exclusive property of the Service Provider or the relevant artist, unless explicitly agreed otherwise in writing.
8.2 The Client may not use, reproduce, or publish these materials without prior written consent.
8.3 In the case of co-creation or commissioned work, ownership and licensing terms will be specified in a separate agreement.

9. Royalties and Revenue Sharing

9.1 For musical compositions, recordings, or other creative products involving co-authorship or production by the Service Provider, royalty rights and revenue shares will be outlined in a separate written agreement prior to release.
9.2 Unless otherwise agreed, the Service Provider retains the right to claim a percentage of mechanical royalties, streaming revenue, performance royalties, sync rights, or other income derived from the work.
9.3 The Client is responsible for ensuring proper registration of the work with the relevant rights organizations (e.g., SABAM, SACEM, PRS) and for including the Service Provider in applicable credits and shares.
9.4 Disputes regarding royalty division will be resolved according to industry standards or through mediation.

10. Bookings & Studio Sessions

10.1 Booking Procedure
All bookings for studio time (recording, mixing, editing or video services) must be arranged in advance via email, phone or the official booking form. Bookings are confirmed only after written agreement and, if applicable, receipt of a deposit.

10.2 Cancellations & Rescheduling
Cancellations or rescheduling must be communicated at least 48 hours in advance.

  • Cancellations made within 48 hours of the session may be subject to a 50% cancellation fee.

  • No-shows or cancellations on the day of the session will be charged in full.

10.3 Late Arrivals
Clients are expected to arrive on time. Delays of more than 30 minutes without notice may result in reduced session time or full cancellation without refund.

10.4 Payment Terms
Unless otherwise agreed, payment is due at the end of the session or upon delivery of final files.
Accepted payment methods include bank transfer, Payconiq, or cash.

10.5 Use of Material
Audio or video material recorded or edited in the studio will only be released to the client after full payment has been received. All rights remain with the studio until payment is complete.

10.6 Rights & Confidentiality
All recordings and materials are treated with strict confidentiality. Clients retain rights to their work unless otherwise agreed in writing. YUKI Music Studio reserves the right to use short excerpts for promotional purposes only with prior permission from the client.

11. Artist Engagements & Live Performances

11.1 Contract Requirement
All live performances, artistic collaborations or commissioned appearances (including concerts, festivals, private events, exhibitions, etc.) are subject to a written contract between Lenaz Art & Bongaerts Productions and the client or organizer.

11.2 Contents of Agreement
The contract shall clearly define the following:

  • Description of the service or performance

  • Date, time and location of the event

  • Agreed fee and payment terms

  • Technical and logistical requirements (e.g. sound check, hospitality, equipment)

  • Responsibilities of both parties

  • Cancellation terms and possible penalties

11.3 Deadline for Contract Signature
The agreement must be signed by both parties at least 21 working days prior to the performance date.
If the contract is not signed within this timeframe, the artist/producer reserves the right to cancel the performance or decline the engagement without further obligation.

11.4 Payment Conditions
Unless otherwise specified in the contract, a deposit of 50% is due upon signing, with the remaining balance payable no later than 7 days after the event. Late payments may incur administrative fees or legal follow-up.

11.5 Force Majeure
In the event of force majeure (illness, accident, travel restrictions, etc.), both parties agree to seek a reasonable postponement or cancellation without penalty. In such cases, any prepaid amounts will be refunded or credited unless otherwise agreed.

12. Confidentiality

Both parties are obligated to maintain confidentiality regarding all confidential information obtained in the context of the agreement, either from each other or from other sources.

13. Applicable Law and Disputes

13.1 All legal relationships are governed by Belgian law.
13.2 Disputes will preferably be resolved through mutual consultation. If this fails, disputes will be submitted to the competent court in Tongres.
